Independent Sales Office (ISO) – Payment Processing & Merchant Services

1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the services, products, consultation, and merchant‑services facilitation provided by New Morrow Solutions LLC (“New Morrow Solutions,” “we,” “our,” or “us”). By engaging with our services, submitting a merchant application, or accessing our website at www.newmorrowcos.com, you agree to be bound by these Terms.
New Morrow Solutions LLC operates as an independent sales office (ISO) and independent agent for various third‑party payment processors and financial‑technology providers. We are not a bank, not a payment processor, and not a financial institution.
If you do not agree to these Terms, you must discontinue use of our services.

 

2. Independent Status & Non‑Affiliation Disclosure
New Morrow Solutions LLC is an independent entity. We are not owned by, not controlled by, and not a subsidiary of:
•     Fiserv
•     CardConnect
•     PaybotX
•     Payarc
•     Paybotic
•     Any of their parents, affiliates, or related entities
When acting as an ISO or agent, New Morrow Solutions LLC facilitates merchant onboarding, provides consultation, and supports merchants in accessing services offered by these third‑party processors. All underwriting, risk decisions, settlement, and transaction processing are performed exclusively by the respective processor or sponsoring financial institution.

 

3. Services Provided
New Morrow Solutions LLC provides, but is not limited to, the following services:
•     Merchant account consultation and application assistance
•     Payment‑processing education and rate analysis
•     Statement audits and fee‑transparency reviews
•     Facilitation of merchant onboarding with third‑party processors
•     Hardware recommendations and integration support
•     Ongoing merchant advocacy and liaison services
We do not guarantee approval for any merchant account. Approval decisions are made solely by the underwriting bank or processor.

 

4. Third‑Party Processors & Agreements
By applying for or using payment‑processing services facilitated through New Morrow Solutions LLC, you acknowledge:
•     You will be required to enter into a separate Merchant Services Agreement (MSA) with the applicable processor or financial institution.
•     Those agreements are legally binding between you and the processor—not New Morrow Solutions LLC.
•     Fees, rates, reserves, chargebacks, and settlement terms are governed by the processor’s MSA.
•     New Morrow Solutions LLC is not liable for processor actions, system outages, underwriting decisions, or financial determinations.

 

5. Compliance With Colorado CPA, CCPA, and GLBA
Because New Morrow Solutions LLC may handle or transmit limited merchant‑related information, including business contact information and application data, we maintain privacy practices consistent with:
•     Colorado Privacy Act (CPA), C.R.S. § 6‑1‑1301 et seq.
•     California Consumer Privacy Act (CCPA), if applicable
•     Gramm‑Leach‑Bliley Act (GLBA), where financial‑data handling applies
We do not collect consumer cardholder data, nor do we store or process transaction‑level financial information. All consumer financial data is handled exclusively by the third‑party processor in accordance with PCI‑DSS and applicable federal and state laws.
Our Privacy Policy (separate document) outlines:
•     Categories of data collected
•     Purposes of data use
•     Consumer rights under CPA/CCPA
•     Data‑minimization and retention practices
•     Security measures and vendor‑management protocols

 

6. Merchant Responsibilities
Merchants using services facilitated by New Morrow Solutions LLC agree to:
•     Provide accurate and complete business information
•     Comply with all applicable laws, including PCI‑DSS requirements
•     Review and understand the processor’s Merchant Services Agreement
•     Maintain secure handling of payment devices and credentials
•     Notify both New Morrow Solutions LLC and the processor of any suspected fraud, breach, or unauthorized activity

 

7. Limitation of Liability
To the fullest extent permitted by law:
•     New Morrow Solutions LLC is not liable for losses arising from processing delays, outages, underwriting decisions, chargebacks, reserve requirements, or processor‑imposed fees.
•     We are not responsible for financial losses, lost profits, or consequential damages resulting from the actions or inactions of third‑party processors.
•     Our services are provided on an “as‑is” and “as‑available” basis.
Your exclusive remedy for dissatisfaction with our services is to discontinue use of those services.

 

8. No Legal, Tax, or Financial Advice
Information provided by New Morrow Solutions LLC is for informational and operational purposes only. We do not provide:
•     Legal advice
•     Tax advice
•     Financial or investment advice
Merchants should consult qualified professionals for such matters.

 

9. Intellectual Property
All content on www.newmorrowcos.com—including text, graphics, branding, and materials—is the property of New Morrow Solutions LLC unless otherwise noted. Unauthorized reproduction or distribution is prohibited.

 

10. Termination
New Morrow Solutions LLC reserves the right to terminate or refuse services at any time, including but not limited to cases involving:
•     Fraud or suspected fraud
•     Misrepresentation
•     Non‑compliance with processor requirements
•     Abusive or unlawful activity
Termination of our relationship does not terminate your obligations under any processor’s Merchant Services Agreement.

 

11. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict‑of‑law principles. Any disputes shall be resolved in the courts located in El Paso County, Colorado.

 

12. Changes to These Terms
We may update these Terms periodically. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
